We are a Partner-centric firm wherein the partners always lead and perform all or the majority of the engagements and are supported by associates and researchers on specific projects. We work using a collaborative team process where at a minimum, two partners always work on every project, often more than two partners and associates work on a project. Our geographic presence enables virtually “around the clock” action on many projects. We seek to truly become a trusted advisor to our clients providing timely, personal attention and service to every client and typically we become very integrated into our clients’ team during the course of a project.

Our expertise and singular focus is providing M&A advisory services to software, services and data intensive technology and human capital companies worldwide. We provide our advisory services to buyers and sellers, typically in the mid-market.

Sell Side Engagements


We typically represent clients who may be located virtually anywhere in the world and who wish to sell software, services and data intensive technology or human capital businesses.  We have established a reputation for successfully selling privately owned companies run by a single owner or a team of shareholders as well as divestitures of businesses within larger corporations. We have an excellent track record of success in of both types of sell side engagements including working as a trusted advisor to our clients throughout the sale process, until the transaction is completed.


A primary objective for us is to create competition among potential buyers for the businesses we represent and to offer our clients choice in terms of potential buyers and offers. We utilize our strong research capability together with our knowledge, contacts and our international reach to identify and contact an appropriate set of potential buyers. It is important to us that we thoroughly understand the business strategy, objectives and requirements of our Engagements prior to starting the project. We keep the process confidential so as to protect the business and its market position, and we are very careful about the release of information to potential buyers ensuring first communications provide minimal information and then additional information is released only after further qualification and under a non-disclosure agreement.


Our approach is to work as a team both within Goldenhill and with our clients to keep their time, especially in the earlier stages, to a minimum so that management can continue to focus on sustaining good operating results throughout the process, yielding the client the benefits of a higher valuation with the ultimate sale.

Buy Side Engagements


We typically represent clients who may be located virtually anywhere in the world that wish to acquire software, services and data intensive technology or human capital businesses. We have established a reputation for successfully assisting our clients in usually more than one successful acquisition transaction. For buy side engagements we work for “strategic buyers” (public companies and aggressive and ambitious private companies) and from time to time for “financial buyers” (private equity firms). The strategic buyers for whom we work have concluded that acquiring appropriate businesses can be an efficient route to complement their organic growth strategies. Our function is that of a trusted advisor to our clients throughout the buy process until the transaction is completed. In many cases we function as the de facto M&A department for our clients assisting them in making multiple acquisitions over time.


We utilize our strong research capability together with our knowledge, contacts and our international reach to identify, contact and qualify as many appropriate acquisition targets as possible. It is important to us that we thoroughly understand the business strategy, objectives and acquisition criteria of our Engagements prior to starting the project. We keep the process confidential so as to protect the company and its market position, and we are very careful about the release of information about our clients to potential sellers ensuring first communications provide minimal information and then additional information is released only after further qualification and under a non-disclosure agreement.

Our approach is to work as a team both within Goldenhill and with our clients to keep their time, especially in the earlier stages of the process so that management can continue to focus on the operational demands of the business. We can provide advice and guidance in terms of optimum acquisition targets, evaluation, negotiation and business strategy, the due diligence process and the completion of the final transaction. We are experienced in the subtleties of the acquisition process from finding and approaching prospective sellers through final implementation of the deal.
