FEWER DEALS, STEADIER VALUATIONS: HRTECH M&A SIGNALS STABILISATION
Fewer deals. Steadier valuations. That is usually the pattern right before a market resets.
HRTech saw 58 M&A transactions in Q2 2026, down 28% on Q1 2026 and 26% below Q2 2025, the lowest quarterly count in five quarters. Core HR & Payroll led activity with 50% of deals, ahead of Talent Acquisition (26%) and Talent Management & Development (24%). Strategic buyers, including PE-backed platforms, accounted for 91% of deals.
The public markets are telling a steadier story. Mid-cap and small-cap revenue multiples recovered to 1.8x and 1.3x respectively in Q2 2026 (from 1.6x and 1.2x in Q1), while large-cap multiples held at 3.3x. The Goldenhill HRTech Index edged higher over the quarter, outperforming the NASDAQ’s retreat from its March highs, an early sign of stabilisation after three quarters of sector de-rating.
Consolidation is also reshaping the stack itself. In the UK, Learning Pool’s back-to-back acquisitions of WorkStep and Confirm brought learning, engagement and performance measurement onto a single platform, while Cezanne HR’s acquisition of Learn Amp extended core HR and payroll into full employee-lifecycle management. Europe led buyer activity in the quarter with 25 buyers, just ahead of North America’s 23.
